It would be easy to say that the talks fell apart because of the diet drug issue. The simple fact is that if liability was a real concern the talks would never have been initiated. The problem here was due to the fact that AHP really did not want to give up ANYTHING that they wouldn't have given up had there no been legal liability issue. In other words, it appears that AHP is not so worried about the legal liability so they do not expect others to be. The good part here is that AHP knows more than anyone how liable they really are or may eventually be. If there was any cause for concern they would have been eager to please Smith Kline in order to close a deal.

This is not hindsight on my part but if a deal had been struck between AHP and Smith Kline-and it was the deal that Smith Kline was seeking- I would have been concerned and suspicious because it would mean (IMHO) that AHP knows something that we don't. Smith Kline was looking for a sweet deal (I won't go into it but it is outlined in today's NY Times) and AHP ain't gonna give it to 'em. Because they feel they don't have to.

Don't get me wrong. I, like most of us, have concerns over the legal liability but not enough to sell. As a matter of fact my hunch told me to buy 2000 more shares yesterday. As the saying goes, "All successes start as a hunch".
