I just got home Fri nite which was our anniversary. Had to go thru all the posts to try to keep from being redundant.

CK, Jan, FMA and Malek: Great job of reporting; I'll fill in/supplement as best I can.

My first note differs somewhat from an early post by Frank and I'm not sure who's mistaken. I noted the increase to 500 was representative of all staff, not just engineers. Jenkins did state in his presentation that management would be increasing its numbers (and justifiably so). Someone who was there please respond if I'm wrong.

We were given profit margins as follows:

Source of Revenue Core Business Y2K
- Engineering Services 50% 60%
- Materials * 7-10% N/A
- Product License 85% 85%

* - There was more to this category but I couldn't write fast enough.

Management is reducing contract risk with an increase in fee based engagements (contracts) opposed to fixed rate contracts.

Of the 2080 working hours/year/engineer 77% (1602 hours)will be billable on average when calculating holidays and other factors I didn't get written down. As stated rates are up 66% and my impression is we haven't seen the highs. Jenkins or Fallon mentioned $175/hour for Y2K work.

To add what I didn't see mentioned to the "Last 10 Days of TAVA" presentation. In addition to top mgt personal contacts and phone calls (Fallon stated the service person for his messages has had so many for him "she told him she knew his cell phone number by heart").

- Discussions with major European aerospace industry with 400 plants
- Request for Hospital Program which has 1,000 hospitals in its organization (Hospitals are just beginning to awaken to problem)
- Discussions with major Pharmaceutical and Food Co's on remediation
roll-out program

They presented a time line from negotiations to pilot project through the whole process of remediation which calculated out left only 1 month prior to the millenium. Point stressed is mgt is certain that soon companies will engage services skipping steps (ie. no more pilot projects; that TAVA will be engaged to start the process while they continue negotiating a final contract).

TAVA now has its full marketing team in place and have added 2 post Y2K products (Batch One and Line One)

Mgt pledged: to "limit" dilution (part of Kelsall's presentation)
to have regular press releases
to have CC with each earnings announcements

Life after Y2K:
Avg growth rate projected to be 20%, provide sustainable earnings of 10% net and have an international position

I spoke to Fallon after the presentation and asked of any consideration for a poison pill to thwart unwanted takeover. He stated that it would be highly unlikely that an unwanted suitor would emerge because the synergies coupled with the cost of takeover wouldn't make sense or be financially sound. He didn't rule out a friendly takeover (don't jump to conclusions; I was asking speculative questions and he no way indicated TAVA is seeking any buyers). Again the question: Is there a poison pill? Answer: No and probably not necessary.

Regarding the CD: I saw the demo Jan referred to. I didn't take notes. I don't remember specific terms. The technician there showed me the menu, went through some of the steps/processes and would've shown me more but I cut it off as hunger set in. The fact being anyone could've been there to dispute any of the program and it was there for scrutiny. It was obvious to me the technician there (and they had several) knew their product.

Each CD has its own identifying code that gets registered with TAVA when they sign up for the 90 trial. The trial limits the company to gathering its own relevant data to upload/download to TAVA through the internet. Thus TAVA will have it tagged for the 90 days and provide the incentive to purchase, utilize and remediate where necessary. the beauty is money to be made even where remediation isn't required.

So MW if you want to know more specifics there are offices all over the country. One must be near you so go check it out yourself. In your self proclaimed boring life you may find it interesting.

I also spoke to the head of the new Birmingham plant and I'm sorry I don't remember his name. As mentioned their focus is on the automotive supply chain. He was excited about their prospects and his future.

He made a point easily understandable about post Y2K: "Why would we all be working our butts off if this were going to end in 2 years just to be job hunting again. There's a future here well beyond the year 2000."

There was so much presented it was difficult to take notes and watch at the same time. If anyone who attended notices any discrepancies in anything I've stated in this post please bring it/them to my attention.
