Secondary offerings are the insiders selling their shares. Private placement is a private deal between the company and any investor. Shelf registration elliminates underwriters. Underwriters only sign up for a sum of stocks they will sell. Registration with SEC is the company's responsibility. Nobody does research on the underwriters level, except how many of their own customers will subscribe to the allocated number of shares. Prospectus is the research instrument that underwriters hand out.

Investors are important if they are "Angels". Some one who will bail out the company later.

Float does not include insiders' stock. Fully diluted includes all the stocks plus warrants and stock options; whether they are exercised or not.
