Clayton:allow me to highlight the point,once more!

'It will help that Compaq cannot be accused of over-paying: with DEC's $2 billion in cash, another $1 billion after further asset sales and a $3 billion tax loss to carry forward, the deal will immediately be good for shareholders.'

If only the morons on wall street would realize this.

The deal will be acreative to earnings in the third qtr of this year ( 1998 ) '
Three bumps before this will happen :
1) The layoff of 10-15000 people to bring the company to a productive size
2) One billion writeoff charge for the layoff's in the second qtr
3) culture's clash - this has not been a problem for EP in the past -do it my way or hit the road
