Racom has filed Form 8-K with the SEC that discloses the text of its 15 Jan 98 agreement with Hitachi. It can be viewed at edgar on-line. The agreement grants Hitachi a worldwide, non-exclusive license to design, manufacture and sell smart card products based on Racom's contactless, ferroelectric smart card technology, and Ramtron's proprietary FRAM technology which it will provide within 60 days of the agreement.

Hitachi will pay certain license fees and royalties to Racom and provide engineering services for development of Racom's RF/ID Products. Ramtron and Racom have a certain defined percentage call (subject to a maximum quantity) on Hitachi's production capacity of RF/ID Products.

Under the agreement, Hitachi will pay to Racom a) Fixed License Fee in US Dollars by January 31, 1998. b) Fixed License Fee by April 30, 1998.

Ramtron is to receive a running royalty to be paid by June 30, and by December 30 on net sales (ex-factory price basis) on the RF/ID Products manufactured, except for RF/ID products produced for Ramtron and Racom.

An interesting point in the agreement, is Hitachi cannot sell RF/ID Products inside Japan until January 1, 1999 because Ramtron and Racom have a pre-existing agreement with another Japanese company. Ramtron and Racom have indicated they would try to amend this pre-existing agreement. This is probably one reason why Sikes is off to Japan this week end. Now we can see if Sikes is a negotiator; i.e., worth his salt. Considering he no longer sits on Racom's board, he can't speak for Racom. Some of the exclusive agreements Ramtron has put in place, probably under the direction of the Brother, have turned around and are now biting us in the bee-hind.
