 Sony to Emerge As Big Shareholder in PerfecTV-JSkyB

February 3, 1998 (TOKYO) -- Talks on the shareholder ratio of the merger of PerfecTV Corp. of Japan and Japan Sky Broadcasting Co., Ltd. (JSkyB) are almost concluded, with Sony Corp. likely to be the largest shareholder, followed by Itochu Corp.

Itochu, which is the largest shareholder of PerfecTV, had opposed the idea of Sony becoming the biggest shareholder after the merger. However, it is likely that Sony and Itochu will be the first and second ranking shareholders, respectively.

The parties seek to settle all remaining issues ahead of schedule. Sources related to JSkyB said in December 1997 that the negotiations would conclude by the end of February 1998. The ongoing negotiations have been made public.

"PerfecTV still has separate project plans from JSkyB, including sales promotion activities," a PerfecTV official said.

In PerfecTV's January sales-promotion meeting with Tokyo sales agents, PerfecTV's staff said they couldn't discuss the merger with JSkyB. The PerfecTV official also said that the company's supply of receivers from manufacturers is falling, and that is making an impact on subscription sales.

At JSkyB, a similar awkward situation persists, with a business- as-usual attitude even though the merger will occur soon. And the issue of handling PerfecTV's 560,000 customers remains open.

To receive both the PerfecTV! and JSkyB services, viewers must have both types of parabolic antenna systems and receivers. PerfecTV! subscribers cannot receive JSkyB's broadcasting services with their current equipment. The two companies are addressing the issue of how to resolve these and other technical issues.
