(the "Company") will be held on March 3, 1998, at 10:00 a.m. local time at The DoubleTree Guest Suites, 550 Winter Street, Waltham, Massachusetts 02154. The Annual Meeting is called for the following purposes: 1. To elect a board of ten directors; 2. To approve and ratify the Company's 1998 Employee Stock Option Plan; 3.
