The big difference in a WDC/Kioxia merger is the production is already rationalized and optimized. They have both had a production JV for literally decades (Sandisk and Toshibia Memory) which produces all the nand for both companies. The post fab packaging; marketing; sales, etc would need to be combined, but that is much easier than semi production. R&D (process) is also joint JV (although both companies do separate long term R&D). And from what I have read, they talked about an all stock merger, which would minimize/eliminate additional debt.
