You wrote " Unfortuantely, the trading
pattern is almost identical to what NPEC did for most of
last year. Yes, we see buying---in fact a lot of it, yet
the stock price continues to go down. Isn't this ironic ?"

I,too, have observed this trading pattern in other stocks affected
by reg-s placements and I think we are seeing the shorting that
usally goes along with them. I don't hold out any hope of CVIA
finding a buyer for the placement as I see no reason for the Reg-S
holders to give up their cash cow- milked at our expense,by the way.
I'd also like to clear up an inaccuracy in the last "update" regard-
ing sec filing. There is nothing "new" about the regulation to file
electronically. Here is an excerpt from my correspondence with
edgar on-line about the matter-"Dear Mr. Birk:

You are 100% right about May 1996 being a requirement to file
electronically. After that time some companies (very few) were still
sneaking in paper filings and they were being accepted. The SEC made an
announcement that on Jan 8, 1998 they would refuse ALL paper filings and
that they would be returned to the companies regardless of the filing
date. "
