WTC -

SHOULD the proposed new management team see any conflict between the suggested salvation for CAI and their new fiduciary responsibility to CS Wireless?

Does it count that CAI owns good part of CS, not visa versa. How about
responsibility to stockholders?

Not an argument, you understand, just not sure who's responsible to
whom for what.

I believe the new management team would view CS Wireless in its proper context; i.e., as a prime, cash-stuffed asset that can best realize its potential by paying off its irresponsible parent company's gigantic debt.

How about a reverse merger? CS Wireless could bail out CAI, take control and become a publicly traded company. CS would then not have to do an IPO in the future, and CAI would avoid Chapter 11. And since CAI owns 51% of CS, at least half of the common share value of CAWS would be preserved. It's a win-win!
