John,

I'm sure you are correct! The conversion has to take place in '98 with the tax spread over no more that 4 years. Additionally, you are correct about early penalties, but I thought that only applied if the total amount was not reinvested (hence where was the $50K in taxes going to be paid from? If you hold back $50K, you will be obligated for the tax ). I hadn't considered the $100K AGI problem - a good observation!

As for your analysis, I agree, convert what you can in '98, and fund ROTH from there on!
