RESPONSE TO YOUR REBUTTLE:

True, Softbank, Japan bought ZiffDavis a while back. But reading through their massive websites, I got the impression that they weren't sure what business they WANTED to be in. Also, there was doubt as to whether or not magazines would be successful enough online. 1996 and 1997 saw an explosion of media companies, namely magazines and newspapers going online.

My guess is once Softbank decided there was money to be made in selling Magazine space online, they acknowledged the conflict of interest with Softbank Interactive Marketing, which they only created in OCTOBER of 1997. Frankly, it was rather silly for them to create SIM in the first place. But often in these large corporations the right hand does not know what the left is doing. BUT SIM WAS ONLY 3 MONTHS OLD WHEN IT WAS SOLD. Softbank, Japan did not have a major interest in it and probably broke even with revenues prior to selling to Netmaster. If NETZ paid 5 or 10 mil US dollars, Softbank, Japan was probably thrilled to have such quick turnaround on their money. And again, folks . . we are speculating as to what happened or how it happened. We may never really know.

Regarding purchase of Softbank Interactive by Netmaster:
There may have been some shares used. I don't know. BUT, just this past fall when Netmaster sunk 5 million bucks into EchoMedia, they built a website claiming 20 million more in acquisition funding. Now maybe that is an exageration, but it does show that US dollars were available PRIOR to the purchase of Softbank Interactive. They were ready for it. This was not a company that was broke trying to buy their way to revenues. Whomever the NETMASTER guy was that sunk those bucks into Burgess's EchoMedia, probably had the sense not to put ALL his eggs in one basket. My guess is HE bought Softbank, just like he bought EchoMedia and AUTO-Netz. My hope is he will continue along the same lines and buy a REAL advertising company with teleproduction facilities and digital color lab.

That would position us well for the coming high bandwidth internet with real-time video/audio continually.

REGARDING TOKYO OFFICE: According to Softbank Interactive press releases, they have offices in Atlanta, Boston, Chicago, Dallas, London, Los Angeles and San Francisco with headquarters in New York City. But Softbank, Japan is based in Tokyo, no? Wouldn't that mean that Softbank was probably also selling ads through their parents office? Now that they have left the nest, they will need to set up shop somewhere in Tokyo, too. Don't you think?

REGARDING CAROLINE VANDERLIP: I have no data or other info that supports your statement that the CEO of Softbank Interactive has stepped down. I have researched thoroughly and am certain she has not left. Information to the contrary is unsubstantiated. When a CEO of a major corporation steps down, that is news. In fact, NOT telling us would be in violation of SEC laws. Caroline is still CEO. Probably of ZULU-MEDIA, now. [guessing]

FURTHERMORE: The ONLY departures I have of record is an Ian Ross that was previously [when we don't know] a Vice President of Media Sales for Softbank Interactive, New York. He left to go with Preview Travel, one of the hottest internet properties going right now. There was also a McLernon that left PRIOR to the sale to ZULU. He was a Director of Internet Strategies for Softbank Interactive marketing and went on to Quote.com. Again we don't know when he left. Only when he was hired. Other than those two, I know of no departures from Softbank Interactive.

SIDEBAR: The rumors of departures from Softbank Interactive Marketing may have cost us all about a nickle a share, so if you cannot substantiate a rumor [especially on the internet] , by all means don't
spread it around [by continual asking of questions]. We are only shooting ourselves in the foot.

REGARDING FINANCIALS PROMISED IN DECEMBER:
That was no doubt before they knew they were buying Softbank. If they filed prior to using Softbank financials, what would be the point?

Sure, there could be better communication with stockholders. But these silent periods are common. Especially just before a filing.

Hope this helps,
