VEECO INSTRUMENTS INC. (DEL.) Agrees to Acquire Digital Instruments
Inc.


Feb. 9, 1998, Veeco Instruments Inc. (Nasdaq:VECO - news) announced that it agreed in principle to acquire Digital Instruments Inc., Santa Barbara, Calif., for approximately 5,500,000 VECO common shares.

VECO said the parties expect to enter into a definitive merger agreement shortly and that the proposed merger is expected to be completed during the second quarter of 1998 subject to, among
other things, confirmation from VECO's independent accountants that the merger may be accounted for as a pooling of interests.

VECO noted that privately held Digital Instruments had unaudited 1997 revenues of approximately $51,000,000 for data storage, semiconductor, research and general microscopy applications. Digital Instrument manufactures high precision measurement products and systems that use scanning probe and atomic force microscopy technology.
