Why would Ira buy back our shares if he could buy back his company's shares on the market at a much lower price?

He sounds confident. He is the type of person I like running my company.

Anthony, Out of the clear blue yesterday, Ira (angrily) told me he would buy all my shares at 30›. I had NOT EVEN talked about that.

I thought "What in the world???" But then it occurred to me...

1) Ira and Arif control nearly 70% of the outstanding shares.

2) They now have lots of cash from the line of credit.

3) Ira said recently that they want to buy back some shares.

4) With 9-10 million shares in the float, they could buy ALL of it for about $3 Million.

PROBLEM: If they hit the ASK to buy these, the ASK will continue to go UP and they will have to pay a LOT MORE.

SOLUTION: Find any existing shareholders that are nervous or angry. Get them to sell DIRECTLY to the company for a stated price. The ASK is NOT affected and the company gets the shares cheap.

RESULT: They control all but 1 million shares (required public float for NASDAQ SC listing) and get them for perhaps less than $3 Million.

The cheapest way for them to accomplish a buy back of shares is to get them DIRECTLY from shareholders. If they have to buy on the open market, the ASK goes up and the cost is MUCH MORE.

Just my opinions.

By the way, I have no idea why he got angry at me yesterday. It SURE surprised me. He "blind-sided" me and even had ME tempted to sell to him.

I don't care for his attitude toward shareholders, but he is doing some excellent things within the company and I intend to make some good money here.

Best wishes,
Brad
