AOL just signed up 1.5 million newbies in the last 4 month. BKS has first shot at these people. AMZN will have to spend a bunch to convert them.

Not really sure about this. AMZN also has some 'exclusive' deal with AOL. IMO AOL stabbed AMZN in the back on BKS deal and I'd say AMZN has legitimate cause for complaint. I think the AMZN deal is for 'inside' the AOL system while BKS has the 'internet' part.

Use AMZN's stock price as a weapon? I don't see how.

If I was BKS and wanted to kill AMZN what I would do is as soon as I heard of a stock secondary (since AMZN will run out of money this is likely) I'd start a big price war and deny them the opportunity cash in on the inflated stock price!
