A little bit more info from the Motley Fool site:

Software, consulting, and systems integration company Computer Sciences Corp. (NYSE: CSC) jumped $11 9/16 to $103 3/4 after enterprise software company Computer Associates (NYSE: CA) came public with the news that the two companies have been in acquisition talks for some time. Computer Associates busted out the $108 per share takeover offer in response to Computer Sciences demanding what apparently was a higher price. Computer Associates says it could go to a higher valuation upon the completion of due diligence, which initially sent the shares of Computer Sciences $5 1/2 above the offered price.

As to the reasoning behind the merger.. Hey, you got me. I'll guess though. IBM is making good money from it's Global Services unit. Companies that buy high end computer software/tools/hardware increasingly want help/support along with tools. They don't want & can't find the staff themselves, so they rely on outside providers, usually the guys selling them the tool. HP does well in this, and it explains why CPQ is buying DEC. So I believe CA wants a ton of ground forces to support their client/server stuff, which they are pretty much basing their future on.

CSC is one heck of a good company. Come to think of it, that's why I bought the darn thing, though I didn't think it would end up this way.
