Dwight,

I checked the S3 again and the price is based on the 3 lowest closing bid prices in the 20 days preceding.

Dwight,

Have a few minutes while something else is running (you'd think that with 433 MhZ and 256MB that I wouldn't have to wait for things to finish so often...:-)

The exact line from the S-3/A is
"(b) 85% of the lowest average of the closing bid
prices of the Common Stock on any three trading days during the 20 trading days immediately preceding the conversion date."
Also, for any shares that would exceed 4.9% of the current outstanding shares, "a conversion price equal to the average of the closing bid prices of the Common Stock for the five trading days immediately preceding the date on which the Company receives the holders election."

Also, for future conversion, the ceiling is set at
"140% of the average of the closing bid prices
of the Common Stock on the AMEX on the five trading days immediately preceding the Initial Conversion Date, but in no event more than $3.50 per share"

So, in addition to a possible quick increase in the number of shares, the 5 days before 28 Feb. will set the ceiling. I would look to that week as where we will see the most short pressure, if any will actually occur.

back to work...

Cheers,

Rich
