It is extremely rare for the stock price of an acquiring company to NOT decline after announcing a deal. The initial response is to assume that the previous day's closing prices reflected fair market value. If the market cap of the takeover target market increases by $100 million, then the acquirer drops by a similar amount.

In this case B2 Gold's market cap declined by more than 2 and 1/2 times the increase in Sabina's, suggesting the new company is worth less than the sum of the parts. Market is likely focusing on the cost to build the Goose project rather than the increased cash flow in a few years.
