Mr. Newmin was retained as a consultant to Exten Industries, Inc. in June 1995. He was elected Acting Secretary of the Corporation on July 13, 1995. On December 1, 1995, Mr. Newmin was elected Chairman, CEO and President of the Company. Mr. Newmin is a principal of Newmin Associates, specializing in mergers, acquisitions and operational management of troubled companies. Mr. Newmin currently is an investor and Board of Directors member of four companies. From 1984 to 1987, Mr. Newmin was President of HealthAmerica, which was then the nation's largest publicly held HMO management company. During his presidency, revenues increased from app. $150 million to $500 million annually in less than three years. From 1977 to 1984, Mr. Newmin was President of International Silver Company, a diversified multinational manufacturing company which he restructured. From 1973 to 1977, Mr. Newmin was Vice President and Western Regional Director for American Medicorp, Inc., responsible for management of 23 acute care hospitals throughout the Western US. During a 2-year period, revenues increased from app. $150 million to app. $390 million. From 1962 to 1973 Mr. Newmin was employed by Whittaker Corporation and was instrumental in Whittaker's entry into the US and international healthcare markets. Newmin's positions at Whittaker included those of Chief Executive Officer of Whittaker's Production Steel Company, Whittaker Textiles Corporation, Bertram Yacht Corporation, Narmco Materials Corporation and Anson Automotive Corporation. Mr. Newmin is currently Chairman of the Board of the International Forum of Corporate Directors, a non-profit organization which promotes corporate governance, and which is composed of over 120 Board Members from California companies.
