If you look at the 1996 SIMSCI Annual Report, you will see that the officers are paid reasonable amounts for a company its' size.

One of the reasons that the officers have been selling stocks regularly each quarter is to establish a regular pattern of sell-offs, most likely to diversify somewhat. Remember, all the shares that they have were granted as options.

The original founder of AspenTech received his shares as his equity in the company when it was formed. There is a difference.

also note, if you plan on selling options as an insider (i.e. CEO), the SEC looks upon you in a more favorable light if you have an established regular pattern for sales.

The only thing I would be curious about is the fact that the CEO (Harris), and the Exec. VP of Sales & Marketing (Pfeiffer) sold option shares (24,267 & 25,000 shares respectively) in the November secondary offering that weren't vested until 1/1/98.

Why didn't they wait until after the shares were vested to sell them?

I think the AZPN people are making a mountain out of a molehill.

Since 10/97 there have been approx 70K shares sold by Insiders. *ALL* of them were sold just before the stock offering on 11/29. On the other hand, AZPN insiders have sold approx 70K shares since 10/97 as well... but here's the kicker.... they are still selling at AZPN. Last sale was on 2/12/98. Hmmmmmmmm.

I am, by no means more knowledgeable on SMCI than any other person on this board. I stumbled across SMCI a week a ago when the share price was slashed. I did some research and discovered that SMCI is a fine investment. AS far as the R&D quote is concerned... I did not make the quote, so I have no idea. Sometimes, if you nit-pick enough, you can find a "plot" behind every word in the language. I personally believe that what the man was saying is that "Fourth-quarter earnings were below our expectations primarily due to unanticipated R&D and other expenses related to the release of PRO/II Version 5 and an unexpected delay in the renewal of a major contract.".... and not a whole heck of alot more than that. Take it however you care to, and invest your funds accordingly.... that is what *I* did.
