Poison pills are used to make an unfriendly takeover of a company unpalatable. The provisions may include contractual agreements in management's employment contracts to make very large payments to management officials if the company becomes owned or controlled by another. The company may have provisions to issue huge amounts of stock to shareholders of record before the buyer obtains a certain level of control, let's say 5%, at favorable price to dilute the buyer's ownership position back to practically nothing.

I am not sure what the favorite provisions are these days. However, I must say that I do not recall poison pills ever really stopping a takeover.
