Some companies adopt shareholder rights plans, even if there are no takeover talks. SNDK announced one last summer, and there were no apparent takeover rumors. Of course, I don't know for certain whether there were any takeover discussions at that time.

Actually I think the opposite. There are no takeover talks in progress, but Cymer may have gotten wind of an attempt at a hostile takeover.

Alternatively (but I feel less likely), a friendly acquisition may be in the works, and both sides want to protect themselves in case a hostile suitor appears once word of a merger/takeover becomes public.
