Karl,

You got me on this part:

<< December 9, 1997
--------------------------------------------------------------------------------(DATE OF EVENT WHICH REQUIRES FILING OF THIS STATEMENT)>>

I must confess I hadn't read that part. It got me to looking around and I couldn't find another 13G or 13G/A that had that line in it. I also looked at those forms on some other companies. That's not to say that there aren't lots of them out there somewhere, I just couldn't find another example of it very quickly. I did notice that the format of these forms seems to vary quite a bit.

My next question. Is this what you're hanging your hat on, is this what says to you H&Q bought 3,393,452 shares of common? I may have missed something else on that page.

Oh, it occurs to me, wonder what "Rule 13d-1(c)" states, that's why they are filing the form.

Regards,
James

Karl,

Sorry to beat this to death, but this is interesting to me. Apparently TODAY is the deadline for new rules concerning Schedule 13G. Those new rules created the line on the form about "(DATE OF EVENT WHICH REQUIRES FILING OF THIS STATEMENT)". If you're a glutton for punishment you can read about it here:
sec.gov

I couldn't find specifically what goes on the line however. I think that explains why I wasn't seeing it on other form 13Gs. That same site addresses to a limited extent warrants, rights, etc., and their underlying securities. It doesn't explain well enough for me how the reporting rules on them work as far as when a filing is necessary, for instance, when one doesn't own the common shares themselves.
