CS, the CYMI rights offering "protects" shareholders from a third party buying up the stock. That is not good for the stock price, but is a ploy to protect management jobs. These "shareholder rights" plans are not ever in the shareholders interest because it devalues the company as a buyout target.

Candlestick: I'm not familiar with the Cymer plan but virtually all "shareholder rights plans" I've run into were to protect management's interests rather than shareholders.
