Better On-Line, Pacific Info -2: Closing By End Of 1Q

TERADYON, Israel (Dow Jones)--Better On-Line Solutions Ltd. (BOSCF) signed a memorandum of understanding to buy 70% of Pacific Information Systems, Beaverton, Ore., for an undisclosed amount of cash and stock, and took an option to buy the rest of the computer products reseller.

Financial terms weren't disclosed.

In a press release Tuesday, Better On-Line said a portion of the cash payment will be deferred and contingent upon Pacific meeting minimum financial performance targets during 1998.

The agreement is subject to completion of due diligence, execution of a definitive agreement, and approval by the boards of both companies. Closing is expected by the end of the first quarter.

Pacific Information, a reseller of ISP, networking, and personal computer products, posted revenues of about $20 million for the year ended Dec. 31, 1997.

Better On-Line makes connectivity and networking products.
