Readware on COMSAT...... ------------------- Subject: Sat Conf Date: Wed, Feb 18, 1998 12:01 EST From: Readware Message-id: <19980218170100.MAA22878@ladder02.news.aol.com> On your email: we will have a bead on the conference in DC tomorrow-- Loral will be there, and I am interested in what Orion and C* have to say especially. Dr. Maehl of C* is an extraordinarily intelligent man. As for the Orion deal closing, it should by the end of the 1st qtr. No definite date is set b/c of the aggregate pricing rule-- I believe Loral's banker has to average a 20 day price portfolio to determine the allocation of Loral to Orion shares, and the day of the closing for that matter cannot be made public. I would have no way of knowing what arbitrageurs may or may not be doing in the ONSI stock. The price of the stock today tells you this deal is done and finished, but as for LOR trading in relationship to the ONSI stock I cannot make any intelligent comment whatsoever. I assume you know that GlobalstarBrasil is already in place, so the Loral name is well known in the Brasil ministry. While the first bid window closed, it is way too early to tell to whom the government will allocate the satellite assets. I do not think, if they made any assets acquisitions, it would be for the entire company. The regulatory hurdles would be a nightmare, and some of the technology would not fit with SSL. And given the CQ price now, for sure the Loral management is not interested in the entire company, if it ever was. There was an announcement this morning of a Loral press conference at the Sat Conference in DC. I am not sure if there was any relation at all between this CQ news and the press briefing.
