The Wall Street Journal -- February 19, 1998
Technology Brief -- INTEL CORP.:
Chip Factory Is to Be Built
At a Cost of $1.5 Billion

Intel Corp. said it will build a $1.5 billion chip factory with a new generation of
manufacturing equipment at an existing site in Hillsboro, Ore. The
computer-chip industry giant, based in Santa Clara, Calif., said the plant will
begin production in 2000. The factory will be Intel's first that uses 12-inch
silicon wafers, which can hold at least 2.25 times more chips than current
eight-inch wafers. It also will feature chips with circuitry that are 0.13 microns
in length. A human hair is about 100 microns in width. The factory will focus
on advanced research and have more than 120,000 square feet of space, as
much as other companies have for their full-scale production factories. The
plant will be adjacent to another factory on Intel's Ronler Acres campus in
Hillsboro. The company said it expects to spend $5.3 billion on new factories
and equipment this year.

Could somebody elucidate the Tax implications of exercising the warrants?

Thanx

Barry, I don't know how many warrants will be sold relative to the
number that will be exercised, but if about 20 or 30% is sold to
generate the cash needed for conversion, it could be that Intel
will be receiving a cash infusion of one to two billion dollars.
Someone here can do a better estimation. In any case, does
that money go to the bottom line, to acquisitions, to R & D,
or what? It is not trivia and I am sure with INTC at about $90
most of it will be converted in the next few days. After all,
these operations must be executed by March 10 at the latest.
