Nordstrom agrees to $6.25 bln buyout deal from founding family

Nordstrom JWN said on Monday it would be acquired by its founding family and Mexican retailer El Puerto de Liverpool in an all-cash deal valuing the department store chain at about $6.25 billion.

The deal offers shareholders $24.25 in cash, a slight discount to the stock's Friday close. Shares of the company were down nearly 2% before the bell. The acquisition gives the family consisting of CEO Erik Nordstrom and President Pete Nordstrom a majority ownership stake in the company and comes at a time when department store chains across the U.S. are grappling with muted sales amid higher costs.

Reuters had first reported in March, citing sources, that the founding family was looking to take the company private, six years after a similar attempt turned out to be unsuccessful.

Urban Outfitters shares rally on record revenue, surge in comparable sales for namesake banner

Led by strength in its namesake banner and its digital channel, Urban Outfitters ( URBN) reached record sales and record net income for the third quarter, beating Wall Street’s expectations and driving shares sharply higher in after-hours trading.

“Trends observed last quarter have remained consistent with broad-based comparable sales growth and robust results in the Retail, Subscription, and Wholesale segments. These results underscore the strength of our diversified business model, which enables us to continue capturing market share, and drive consistent long-term growth,” remarked Urban Outfitters CEO Richard Hayne.

At +12.5%, comparable sales for the Urban Outfitters banner were 3 times better than anticipated, while Anthropologie comparable sales of 7.6% also beat 4.96% expectations. Combined with a 4.1% increase in Free People comparable store sales, company-wide sales were up 8%, beating 5.1% estimates.

Subscription segment net sales increased by 48.7% primarily driven by a 42.2% increase in average active subscribers in the current quarter versus the prior year quarter. Wholesale segment net sales increased 7.6% driven by an 8.4% increase in Free People wholesale sales primarily due to an increase in sales to specialty customers.

The retailer earned a profit of $1.28 per share, up from $1.10 a year ago and 9 cents above estimates on a 12.3% increase in total revenue to a record $1.53B, beating $1.49B estimates. Gross margin improved 31 basis points to 36.8%, beating 36.5% estimates.

Shares were rallying by more than 15%, fueling gains in after-hours trading for American Eagle ( AEO), and Gap ( GAP)
