Since I don't know much about MA. I emailed a professional equity analyst and he said that the OPERATION LOSS of a company can be used to offset the acquirer's taxable INCOME if the merger is in the form of Pool of Interests. No wonder ATI (ATY.to) bought TSNG awhile ago. 3Dfx has issued a public offering of 2M shrs for over 60M cash, however it forms a partnership with Alliance Semiconductor for 2D technology so chance is small.
