My info from an officer of North American Exploration Corp. given to me about three weeks ago is that the board formulated a business plan in June 1997 and it is being carried out, as follows:

Stage 1: To prove the reliability of the tool. During this stage NAMX Energy is formed, a wholly-owned subsidiary that is an exploration and production company.

Stage 2: To market the technology internationally to the natural resource exploration industry. (During this stage another subsidiary is formed, NAMX Technology? I'm not sure about the details of the second stage.) I too was told the technology will be offered fee for service and also for overriding royalties on discoveries and development.

In the most recent press release, NAMX Development & Management Corp. (NAMX DMC), a wholly-owned subsidiary, was announced. That may be the company that is referred to in Stage 2 (see above). But because the press release said NAMC DMC would develop and manage its domestic oil/gas exploration and production activities, there may be still another, a third, subsidiary formed to do business internationally. That part of it is not clear to me.

Regards,

M.M.
