No question that this share dilution is key. In many small companies it becomes the biggest single problem, since once the shares are issued the dilution becomes a fact, and you are betting on the earnings increase to catch up, if you have purchased truly undervalued companies.

" The share dilution is a concern and what one is banking on is that DCTC is buying
businesses that are undervalued and/or can have a synergistic effect such that revenue
and earnings growth outpace share dilution. This of course takes time to materialize as
start-up costs will initially outpace revenues"

Dear Joe:
Good analysis!I might add that if one were to review the annual
report for the year ended March 31,1997,especially the footnotes you will find that by shedding those companies you listed we also shed
approximately $8.0 million in sales and nearly $4.0 million in losses.
