Frank, in a Dutch auction the co. would announce they will buy back up to 10mm shs. at (for example) $13 per shr. Shareholders who wish to sell at that price can then tender their shs. to the co. If over 10mm shs. are tendered then I believe they prorate the purchase over all participants. It is the easiest way to buy back a large number of shs. quickly if mgmt. is serious about buying near the 10mm authorized limit.

A dutch auction starts high and the price is lowered until buyers step in. This is how T-Bills are sold.
