Wonderware Reiterates Support for OEMs & Resellers; Plans to Operate As Independent Unit Of Siebe plc

IRVINE, Calif.--(BUSINESS WIRE)--Feb. 24, 1998--Wonderware Corp. (Nasdaq: WNDR) reiterated Tuesday that it intends to continue providing high levels of support to its existing value-added reseller (VAR) and original equipment manufacturer (OEM) customers following its announced acquisition by Siebe plc.

"Wonderware has always been the leader in providing open architectures and powerful development tools to its VARs and OEMs for serving vertical market industries and we intend to continue offering our high level of support and supply of product to these customers as an independent operating unit within Siebe plc," said Joe Cowan, vice president of sales and marketing for Wonderware.

"We recognize that many of these companies are among our largest customers and we want to reassure them and their customers that there will be no diminution of our relationship with them," Cowan added.

"Moore Products, for example, is among our top customers and we value their business. They've standardized on our FactorySuite as the open software platform for their integrated process automation and control solution, ProcessSuite. We fully intend to continue supporting their future products -- including the newest ProcessSuite 2.0 package, which is based on our FactorySuite 2000 product. We will continue our cooperative efforts with Moore in relation to future product developments as well."

Siebe plc and Wonderware announced earlier today that Siebe has entered into a definitive agreement to acquire Wonderware for $24 per share in cash, or approximately $375 million. The offer has been unanimously approved by Wonderware's Board of Directors. Siebe plc expects to initiate a cash tender offer as soon as possible to complete the transaction, which is expected to occur in April of 1998.

Founded in 1987, Wonderware pioneered Microsoft Windows-based software for developing industrial automation applications. The company's FactorySuite product line is an integrated suite of easy-to-use software tools for creating factory applications and provides one of the broadest ranges of functionality available on the market today.

Based in Irvine, Wonderware has regional offices in the United States, Europe, Latin America and Asia to provide support to its network of nearly 150 distributor offices. The company reported record revenues of $82.5 million for 1997.
