There is a negative article about the company in this week's issue of Forbes which suggests that the takeout price for the stock might be as low as $8, based on a commonly used valuation methods for pricing telecoms mergers. This may be a factor holding back the longs. Perhaps you're also seeing some short selling betting on the possibility that there will be no merger. I know there is a lot of short interest in this stock.
