john-

if you want one man's opinion i think it may be. i base this on a tele phone conversation w/ paul berlin this morning and my attendance at the sh mtg in december.

i understand that Mr. Carrenzo is stepping down as ceo so that he can return to the east coast where is family has remained. Apparently his wife has been commuting out here every few weeks and his 3 children and other family members are all on the east coast. P. Berlin indicated that he had come out of semi-retirement to take this position and financially dn need to work. Apparently, when he was back there during the holidays one of his brothers convinced him to come back to the east coast to be involved in a family business.

P. Berlin said that key people at ptsc had been aware of the situation for at least a number of weeks. Carrenzo will stay on the BOD and i understand will keep his hand in the plasma antennae end of the business where ptsc has a number of key connections on the east coast. Obviously, he has a keen interest in seeing ptsc do well since he has @ 600,000 shares/options. He will stay on through a transition period.

Having had an opportunity to meet and speak w/ Mr. Carrenzo at the Dec. sh mtg as well as a # of other ptsc personnel, i can tell you that He came across with a very conservative, east coast, big firm style; personally i liked his low profile-behind-the-scenes style and thought it brought a lot of credibility to ptsc. This contrasted sharply to Woody's shall i say "spirited entrepeneurial free-wheeling" style. There was kind of a nice balance. I understand from Paul B. who has interviewed the new ceo that he has the blend of the two rolled into one. This is probably advantageous for a small growing hi-tech firm. What PB said he particularly liked besides his technical background is that he thought Mr. Lunney has a good business development background which is what ptsc needs at this point. He has good contract negotiations experience and is a good salesman per PB.

Mr Lunney's background includes experience in 2 divisions of GE after which he moved over to Scientific Atlanta where he still has contacts. From there he became ceo of a SFA spin-off- Signal Processing in San Diego. ( I like the SFA connection- believe SFA is currently using Sun sparc chips in its stbs- would love to steal some of that business.)

All,

Great, now the top brass is showing instability. Watch the stock plunge again. I guess either Carenzo wasn't getting the job done(Which is what I hope it means) or he sees the writing on the walls....(Which Is what I hope it doesn't mean)

Hopefully the new fella can kick the sales folks ass & get some sales nailed down. In the meantime, let's all hate money some more.

The above stated views are mine, not my employers.
