The Company is restricted under the Merger Agreement from declaring or paying dividends except as otherwise set forth in the Merger Agreement.

So dividends have been canceled but these are cumulative so the payments do accrue and one s/d get paid a "special" dividend and/or get the accrued dividends if/when the preferred is paid off.

You DO NOT get the accrued dividends if you elect to convert to shares from everything I have read. You just get the share conversion x $2.25/share.

If you own any of these preferreds Do you hold or convert to shares?

I am planning to hold until 2026 and see what the Go Private partners decide to do w/ these preferreds. They have an EXIT strategy and that may be to pay these off AFTER all the stock conversions have been completed.

Or they may do nothing and these assets become boat anchors . . .
