The selling was insignificant. You are right, these people
know best what is going on. See my post 35524, which I will
repeat here:

Synopsis of insider sales this Feb. 1998 window:

Ejabat 34,998
Ejabat 20,000
Stagno 11,693
Deshparde 35,000
Colicchio 5,000
Sanford 15,000
Johnson 18,000
Johson 12,000
Smith 50,000 (perhaps another 50,000...being checked)
Schneider 25,000

Total: 226,691 or 276,691

This total is very, very low compared to insider sales
during earlier open windows. As such, it may even suggest
that insiders are relatively "holding" ASND, a positive sign:

Oct-Nov 97: 485,955
Feb 97: 646,193
Oct-Nov 96: 543,707
Jul-Aug 96: 249,829 (ASND rose after this window from 52 to 72)
Apr-May 96: 695,628
Jan-Feb 96: 603,986

Just that their kids are growing up and soon they will be going to college (Standford most likely since all the sellers seem to live in Los Altos, Palo Alto area in the heart of Silicon Valley). And also they are buying brand new homes in these areas. So it is understood, they do need the money?!!

But seriously speaking, 194000 shares compare to the total outstanding shares and total shares insiders continue to hold is not that significant and I would not be worry about it.

1) The quantity sold is not significant.
2) The fact that shares are being sold is not significant.

I know this is hard for some folks to believe, but when you've got a bunch of shares with more vesting every month it makes sense to sell some, even when the price is going up.

The first reason is because every financial planner, book, guru, whatever will tell you that you are crazy if you don't (the all the eggs in one basket argument).

The second reason is because you see the people around you buying fancy cars, airplanes, bigger houses, whatever and you want to buy some, too!

Also, those that have to file 144s only have certain windows when they can sell (I'm pretty sure that is true, but could be wrong).
