CardCall had 8,238,125 shares outstanding at the time of purchase. For each 100 shares owned a warrant was granted to purchase 9 shares of DCTC at $4/sh on or before Feb. 28, 2001. Additionally, for each 100 shares of CC, the owner has the right to purchase 85 shares of DCTC on or before July 31, 1997 at $0.20/share. The total cost of the transaction including goodwill was recorded as $7,518,357. I know the deal created a lot of shares (approx. 7.75 million and you now know why there is a lot of selling coming out of Canada as these 20 cent shares are 10 baggers). However, the W.H.Smith contract alone has now yielded over $10 million (with SMTK closing above $28 today) and DCTC still owns the bulk of the CardCall business. This info came from the Sept. 30, 1997 10Q.

Remember Joe M. stated that if all options/warrants etc were issued, about 22 million shares would be outstanding. Hope this helps.
