I actually do not know if REG-S transaction can be made while a stock is not trading. However, that being said, I see no reason why it can't be done. It is not a market transaction. It is a private placement.

I am sure there are others that know the answer to that.

If you are talking about issuing shares for the "alleged" $10,000,000 those "terms" were drawn months and months ago, I don't recall how many new shares were to be issued to RMCW, perhaps someone else does.
