I can see this is not the most popular thread on the net *grin* !! Never the less, MSD must be a good candidate for a take over... no debt and money in the bank !!! I can see why they are getting a plan because IMHO a take-over is coming !!!!! OTTAWA, ONTARIO--MOSAID Technologies Incorporated (TSE:MSD) announced that its Board of Directors has implemented a Shareholder Rights Plan. The Plan is effective immediately. The Plan has been adopted in order to provide MOSAID's Board of Directors and Shareholders with sufficient time to assess and evaluate any take-over bid and, in the event a bid is made, to provide the Board of Directors with an appropriate period of time to explore and develop alternatives which maximize shareholder value. The Plan is also intended to ensure that all of MOSAID's Shareholders are treated equally if a take-over bid is made. The Plan is not intended to deter take-over bids. MOSAID's Board is not currently aware of any pending or threatened take-over bid. The Plan is operative until the date of MOSAID's Shareholders' meeting which will be scheduled to ratify the Plan. To remain effective, the Plan must be approved by more than 50 percent of the votes cast at the meeting. MOSAID designs advanced chips for standard memory and Application Specific Memory (ASM) requirements. The Company also designs, manufactures and distributes engineering test systems for memory chips. MOSAID is a leading independent memory chip design house and the leading supplier of engineering memory test systems in the world. Here is a snippet for those who don't read the news *smile* JC likes Mosaid !!!!!!!!!!!!!1 Prime Minister Chr,tien opens MOSAID'S new facility OTTAWA, ONTARIO--Canadian Prime Minister Jean Chr‚tien today presided over the official opening of the new world headquarters of MOSAID Technologies in Kanata. MOSAID is the leading independent memory chip design house in the world, and the leading supplier of engineering memory test systems. MOSAID's move to a new location became necessary when the Company outgrew its original building due to rapid growth. The modern new facility is unique in that the main building is linked to the Monk House, a century-old stone home that once belonged to a co-founder of Monk Rural Telephone, the area's first technology company, formed in 1908. "You could say that technology had its roots here 90 years before we put down ours," said MOSAID President and CEO George Cwynar. "This building demonstrates the same elegance of design, economy of operation and timeliness to market as MOSAID's own products and services." In declaring the facility officially open, the Prime Minister noted that MOSAID is an excellent example of the major role that Canadian high-tech companies play in the world today. "MOSAID possesses all of the key factors for success in the high-tech field, including significant investment in research and development, and strong export sales. "I congratulate MOSAID for its success, and for creating a facility that reflects the world-class work the Company has done and continues to do." MOSAID Chairman Dick Foss, who co-founded the Company in 1975, concurred, noting the Company dominates the markets it serves. " MOSAID has always been on the cutting edge of engineering test systems and computer memory design, starting with the very first 4-kilobit chip right through to the new 256-megabit designs now being developed." In fact, MOSAID was recently selected by a consortium of leading computer manufacturers and top computer memory producers to design the open standard that will establish the next generation of solutions for computer memory. Called SLDRAM Inc., the consortium reads like a Who's Who of the microelectronics industry and includes such well-known companies as Samsung, NEC, and Toshiba. Members of SLDRAM Inc. met in Ottawa this week to go over MOSAID's final design. "The world of computer memory was here in Ottawa to see MOSAID's new reference design for computer memory," said Mr. Foss. "It's the memory chip design that will take us into the next century, and now MOSAID has the facility that will get us there."
