Yes, I suspect that their offer was less than $3. The comments in the article also suggest to me that RMGL and Sanda would likely break up DBCO and sell the parts. They probably recognize the value in DBCO, but I seriously doubt that have any skills in turning around a company like this.
I also think we will shortly see that Eco has the financing to assume DBCOs debt and provide working capital.

Until we find out what the offer is, it is hard to say which offer makes sense to the shareholders. Note I say shareholders, not management.
