I don't think you are right. Form 13G can be an abbreviated form of Form 13D, which is a statement of OWNERSHIP, not a statement of selling. I think you get it confused.

Also, my question is why do they want to file 13G (which is not required by the SEC) if they own less than 5% of the company's common stock?
