Charles, that is exactly the point. (But the loan is up to 80- 130 million). Although we have made a wild, but educated guess that Lidakol will be the best drug for herpes with a 2 day improvement over the next best drug, how can an unknown company promise to loan that much money with one product (now under NDA). (There are other drugs further off, but who knows what they will do at this point).

Healthmed is not really risking their money if they are able to get control of Lidak. Since they would want control in exchange for the loan, they can decide not to go through with spending the money. They can give the money back to Healthmed (for a fee of course IMO).

Speculation is that Healthmed wants to control a potential giant drug with very little risk. I have to say it looks that way to me also. It seems on the surface that Lidak's board is trying to get more of a committment from Healthmed and to preserve an independent board.
I read this as not allowing Healthmed to vote in and out board members at their whim.

Charlie the strange thing is he (dc katz is part of it ... he is giving the house away????) (facilitating the take over..) Perhaps unselfishly because he wants to promote more R&D... but the fact is They (Healtmed) is using a lawyer that specializes in corporate takeovers.. that is significant. then the SEC filings are clear. It seems according to henry that this is the only way or one of the ways Healthmed can secure the funds to lend to LIDAK.
Now I have it on some authority that the Healthmed group is not technical or businessmen they are just fat kats.. so.. that is why they have locked Katz in. The board is saying name a competent board and come up with the money then they walk.
Dc Yacatan was named to the board and he is super qualified for this job IMO he knows contract manufacturing of pharmaceuticals and he is part of the lidakol team... a very good choice. very good.
Now then Healthmed wants the whole board out... does that mean dc Yacatan is out if Healtmed takes over???? very strange..
Then a litigation is unavoidable unless we are told what is going on.. and Healthmed to own and take over the biz would need to control more shares than just Katz's lot... they need pledges of 10 million shares.. but henry does not think individual investors can be locked in like that... so what control??? is very weird... very.
People in the know don't know...but don't think dc Katz means badly.. however they don't understand at all this deal.
