This is my e-mail to Steven Sprague, President of Wave, this morning: Dear Mr. Sprague, ÿ Congratulations on your successes to date.ÿ I am very excited about the potential of the WaveMeter and Wave Systems in general.ÿ I am studying the stock and seriously considering devoting a substantial proportion of my portfolio to WAVE.ÿ Several of us at the Silicon Investor discussion group have some questions regarding anticipated revenues and cash flow in the first and second quarters.ÿ I mailed the attached questions to David Collins only yesterday, but I thought I would also forward them to you. ÿ Your form 10-Q of Nov 19, 1997 contained this sobering paragraph: "Significant uncertainty currently exists with respect to the adequacy of current funds to support the Company's activities.ÿ This uncertainty will continue until a positive cash flow from operations can be achieved....ÿ These uncertainties raise doubt about the Company's ability to continue as a going concern." ÿ Any information that you can provide to us at the "Wavx Anyone?" group would be most appreciated. ÿ Thank you in advance, and we wish you the greatest success in this exciting era of dramatic technological development. ÿ Jeff Thomas ÿ ******************************************************************* ÿ I also sent this e-mail yesterday to Investor Relations for Wave: ÿ Dear Mr. Collins, ÿ I am interested in investing in WAVX and have four questions relating to company press releases: ÿ 1. A Company Press Release on 9-10-97 said a "memorandum of understanding calls for ZakSat to purchase a minimum of 25,000 WaveMeters for delivery in the fourth quarter of 1997". What is the status of this order? ÿ 2.ÿ In Wave's Press Release of 11-24-97 (Q3 Report of Results Highlights) it said that "ACOTEC GmbH agreed to bundle Waves proprietary WaveMeter technology with ISDN modems and routers... ACOUTEC projects it will add over 300,000 users of Wave technology in Europe with the first products scheduled to ship in the first quarter of 1998". Is wave shipping WaveMeters now to ACOTEC? ÿ 3.ÿ Has Wave talked to Creative Labs about putting the WaveMeter on Creative Sound Cards?ÿ If so, what is the status of those discussions? (Not sure if this came out on a Press Release or is a rumor.) ÿ 4.ÿ Has Wave met ITG's milestones per the PR of 11-24-97 for the release of the $4 mil. in licensing fees?ÿ Has the money been received by Wave? ÿ Thank you in advance for any information that you can provide to me as I consider investing in this promising company, ÿ Jeff Thomas ******************************************************************** ONLY 2.5 hours after my e-mail I received this reply from Steven Sprague: The best way to judge this is our history for the past 12- 18 months. In general the company has operated with very little cash reserve.ÿ We are rebuilding a business and our strategy has been to rebuild the strategic partners and clearly define our path to market. We will then follow this up with putting the strategic finance partners in place to help us implement our strategy.ÿ In th mean time we continue to do small financings that keep our opertions funded and bridge us to more strategic finances.
