Conference call re-play number 402-220-9943, available till March 9,1997.

In general mangement was not very open in the specifics of their
problems and the steps they are going to take to fix them.
They are deferring most comments till the actually quarterly
conference call in April.

No comment on capacity utilization of their semiconductor facilities
or their CMDA handset production lines.

No release date on the 1900 MHz CDMA phones.

Only specific about the weakness in the semiconductor group they would add was that the weakness was in the consumer products and discretes.
They are experiencing pricing pressure due to excess capacity of Japanese fab's due to weaker demand in Asia. They don't give breakdowns by product lines. Internal demand for semiconductor products by other divisions remain at the historical 20 percent level.

They have release three 800 MHz CDMA phones recently and have started
volume shipments.

Paging sales to China this quarter were less than expected. They expected a weak Q anyway because of Chinese New Year. The rest of Asia remains weak.
