Steve: The financing was specific for the San Jose campus only. I did not see anything specific regarding COB Young or any details on BOD compensation. Also nothing specific on Novonyx either.

I guess the good stuff will be in the 10Q or 10K if reported at all.

Director Compensation

From the Notice of Annual Meeting of Shareholders.

Non-employee Directors of the Company receive an annual retainer of $20,000, plus a Board meeting fee of $1,200 for each Board meeting attended; the vice chairman receives an additional annual retainer of $100,000.

Steve - Re: Young compensation

Young received a consulting fee of $10,000 a week from the beginning of the fiscal year until April 1997 while he was Chairman of the Board and provided consulting services to the Company as needed. In addition, the option to purchase 100,000 shares at $10.4375 per share granted to Mr. Young pursuant to such agreement became fully vested on March 31, 1997 and will expire in April 1998. The consulting agreement was terminated in April 1997.
