Barbara J Payne,

Please read the Balance Sheet provided with the Earning Release. It clearly states that: "Common stock, $.10 par value; 50,000 shares authorized; 20,687 shares issued and 20,587 shares outstanding at January 31, 1998"

So the total outstanding shares are not 21.3 millions as you may think. The 21.3 million shares are described as "DILUTED WEIGHTED AVERAGE COMMON SHARES OUTSTANDING (RESTATED, IN THOUSANDS)" suggesting that these include the liability resulting from the outstanding preferred convertibles that have not yet been converted.

You should short if that what you think is in your best interest. But, do not incorrectly state that the total outstanding shares are 21.3 millions. They are not.

I hope your short gang is successful tomorrow and in coming days; I would like to buy at way lower prices.
