Good question/post. I can hear double clicks on FreeEdgar all around the world......including me ! I think you will have a few replies after we have done some reading. But the points you raise will have some bearing on price action if and when the deal is announced.

This is just my opinion but why would the preferred's that were issued just a few weeks ago now be put on the selling block. That wouldn't be very smart. How much in lost commissions? I believe that the preferred's were issued because RNTK needed the cash at the time and the Texaco deal wasn't done. But something has changed. I think the 18,000,000 shares being sold is the equity that Texaco is going to take in RNTK and is part of the deal, thus necessary to file the S-3.
All you have to do is read "between the lines" and the picture becomes much clearer.

Also, why did BT Alex Brown, who owns shares of RNTK, place a Strong Buy on Texaco last Thursday. Just by coincidence, that S-3 was filed on Wednesday.

This is JMHO, but I believe we are real close.
