Correct and correct. As for the period of time when the shares were sold by RNTK, I am too lazy to look it up. Spans the past two years, if I may hazily and perhaps mistakenly recall.

stated that these shares could not be (?)cumulated for the
election of officers to the board. Could there be a clearer
message that Rentech is going to be selling these shares
to Texaco? Since Rentech doesn't want Texaco to control
the board, the shares probably will be sold without board
voting rights. Texaco, however, will be given a permanent
spot or two on the board. What Rentech doesn't want to have
happen is for Texaco to use it's 18 million shares to vote
in the entire board. It only makes sense.

If these shares were to be sold as a secondary offering, you
would almost have to offer them with voting rights. But that's
not where these shares will go. Texaco will file them away
in a BIG DEEP vault and they will never see the light of day
again. (Thus, a smaller float for Rentech forever...) >>>>
