My concern is do they even have that "someone" who is investing the 50M lined up yet. ESVS says they will be (future tense) making a private placement in mid-March.

Something doesn't make sense.
ESVS currently has 1.12M shrs outstanding. They have only .38 cash per share. So obviously ESVS doesn't have the cash to invest in NETZ. Who would possibly give this company $50M to directly invest in another. Why would ESVS run the risk of seriously diluting its company and incurring debt which it can't afford.
